These terms are the agreement between you and FOQUSS MODE LLC, the company that runs SumCode. Please read them. By creating an account or using SumCode you agree to them.
- SumCode is a tool for professionals and businesses. You must be 18 or older.
- Your projects, code and files are yours. We only use them to run SumCode for you.
- You choose and run your own AI agent. What it does through SumCode is done on your behalf, so check its work.
- You are responsible for the websites and apps you publish, and for any keys or personal data you put in them.
- Credits are prepaid units for using SumCode. They are not money. Unused credits expire 12 months after your Organization's last purchase.
- We work hard to keep SumCode secure, but no online service can promise it will never be breached. Our liability is limited as set out below.
This summary is only a guide. The full terms below are what apply.
1. Who We Are
SumCode is operated by FOQUSS MODE LLC, a Wyoming limited liability company with its registered address at 5830 E 2nd St, Ste 7000 #15868, Casper, Wyoming 82609-4308, USA ("SumCode", "we", "us"). You can reach us at support@sumcode.io.
"You" means the person using SumCode and, if you use it for a company or other organization, that organization too. If you accept these terms for an organization, you confirm you are allowed to bind it.
2. Who Can Use SumCode
You must be at least 18 years old. SumCode is intended primarily for trade, business, craft and professional use: building, editing and publishing websites and app frontends. If you use SumCode as a consumer, these terms do not remove any rights that applicable consumer law does not allow you to waive.
You may not use SumCode if you are barred from doing so by law, including United States sanctions and export rules, or if we have previously closed your account for breaking these terms.
3. Your Account
Keep your sign-in details secret and use a strong password. You are responsible for activity you authorize through your account, including activity by team members you invite and AI agents you connect. You are not responsible for unauthorized activity caused by our breach of these terms or our failure to use legally required security measures. Tell us straight away at support@sumcode.io if you think someone has accessed your account without permission.
4. Organizations, Workspaces and Team Members
Credits, billing and workspaces belong to an Organization. The Organization's Owners decide who is invited and what they can do, and they are responsible for the people they invite. Everything a team member or their agent does in your workspaces uses your Organization's credits.
5. Your Content
"Your content" means everything you or your agent put into SumCode: code, text, designs, files, imported apps, data bridge values, annotations and settings. You keep all rights in your content.
You give us permission to store, copy, process, display and transmit your content only as needed to run SumCode for you: for example to show it in the editor, keep version history, publish it where you tell us to, back it up and keep the service secure. This permission ends when your content is deleted, except for copies in backups, which are overwritten on a regular cycle.
You confirm you have the rights to your content and that it does not break the law or anyone else's rights.
6. Your AI Agent
SumCode lets you connect an AI agent (for example Claude, Codex or Cursor) that runs on your own account with that AI provider. We do not provide, run or control the AI.
- Changes your agent makes through SumCode are made on your behalf and on your instructions, and you are responsible for them as if you had made them yourself.
- AI output can be wrong, insecure or incomplete. Review your agent's work before you publish it.
- When your agent reads your projects, your content is sent to your AI provider under your own agreement with them. Their terms and privacy policy apply to that.
- You can see and revoke connected agents at any time in your settings.
7. Services You Connect
SumCode can publish to, or import from, services you connect such as GitHub, Netlify, Cloudflare and Bubble. You authorize us to act on those accounts as you instruct (for example to publish a site). Those services are run by other companies under their own terms. We are not responsible for them, their availability or what they do with your content.
8. Secrets, Personal Data and What You Publish
- Secrets. Anything in a page's code is visible to anyone who can see that page. Everything a published page contains or shows is public. Never put passwords, private API keys or other secrets in anything you publish. Use only values designed for public browser use, and rotate any key you think has been exposed.
- Sensitive data. Do not upload payment card numbers, government ID numbers, health records or other special categories of personal data to SumCode.
- Your websites and apps. You are responsible for the sites and apps you build and publish, including what they say, the data they collect from their visitors, their own privacy notices and their compliance with the law. For that visitor data you are the controller, and SumCode is not.
9. Acceptable Use
You must not use SumCode, or let anyone use it, to:
- break any law, or help anyone else to;
- host or publish phishing pages, malware, scams, spam, or pages that impersonate another person or company;
- publish content that infringes copyright, trademarks or other rights, or that sexually exploits children, promotes terrorism or violence, or harasses people;
- collect other people's personal data without a lawful basis and a proper privacy notice;
- try to break, probe, overload or get around SumCode's security, limits or billing, or access accounts or data that are not yours (good-faith security research reported to us under section 13 is welcome);
- resell or rent SumCode, or share accounts to avoid paying for credits;
- copy, scrape or reverse engineer SumCode except where the law allows it.
We may remove content, disable SumCode-hosted share links and previews, stop publishing through SumCode, or suspend accounts that break these rules. Sites hosted by GitHub, Netlify, Cloudflare or Bubble are also subject to those companies' own rules.
10. Credits and Payment
- What credits are. Credits are prepaid units that let your Organization use SumCode's paid features. One credit covers one US cent of usage at the prices on our Pricing page. Credits are not money, a deposit or a bank account. They have no cash value, earn no interest, and cannot be transferred to another Organization or exchanged for cash, except for refunds under our Refund Policy.
- Prices. Credit packs are priced and charged in US dollars. Your bank may add its own currency conversion fees. Prices and usage rates are shown on the Pricing page. We will give advance notice of any increase, and changes apply only from the stated date.
- Free and bonus credits. A new Organization receives a one-time grant of free credits. Free credits have no refund value. Bonus credits have no separate refund value and are removed in proportion when the purchase they came with is refunded.
- Expiry. Unused credits expire 12 months after your Organization's last purchase. Every purchase restarts the 12 months for the whole balance. If your Organization has never bought credits, its free credits expire 12 months after they were given. We email the Organization's Owners before any credits expire.
- Running out. When the balance reaches zero, actions that cost credits stop until the Organization tops up. A zero balance never deletes or locks your projects, and you can always edit by hand.
- Auto Top-Up. If an Owner turns on Auto Top-Up, they authorize us to charge the saved card, through Stripe, the chosen pack amount each time your balance falls below the chosen level, until Auto Top-Up is turned off. Any Owner can turn it off or change the card at any time in Organization Settings, Billing.
- Payments. Payments are processed by Stripe. We never see or store your full card number. Prices do not include taxes; any tax that applies is shown at checkout before you pay.
- Disputes. If you think a charge is wrong, please contact us first. While a chargeback is open, the credits from that payment are held back and your Organization cannot buy more credits.
11. Refunds
Refunds are covered by our Refund Policy, which forms part of these terms.
12. Security
We use reasonable technical and organizational measures to protect SumCode and your content. Anyone who has a share link can open what it shares, so treat share links like passwords and turn them off when you no longer need them. No system connected to the internet is perfectly secure, and we cannot promise that SumCode will never be breached or that your content will never be lost.
You are responsible for your side: a strong password, care over who you invite, the security of the accounts and AI agents you connect, and the keys you store. If we learn of a security incident that affects your personal data, we will tell you as and when the law requires.
13. Reporting a Vulnerability
If you find a security problem, email support@sumcode.io with the details and give us reasonable time to fix it before telling anyone else. Do not access, change or delete other people's data, and stop as soon as you have shown the problem. We will not take legal action against research that follows these rules in good faith.
14. Changes to SumCode
We improve SumCode all the time, so features may change, be added or be removed. Features marked as beta or early access may change or stop working without notice. If we remove a major feature you have paid for, we will tell you in advance.
15. Closing Your Account, Suspension and Termination
- You can stop using SumCode and close your account at any time.
- We may suspend or close an account, remove content, disable SumCode-hosted share links and previews, or stop publishing through SumCode if you break these terms, if your use puts SumCode, other users or the public at risk, if payment fails, or if the law requires us to. Where it is reasonable, we will warn you first and give you a chance to fix the problem.
- If we close your account without you having broken these terms, we will refund your Organization's unused purchased credits.
- Before you close an account or Organization, copy each project's code and download any files you want to keep. After closing, your content is deleted. We will also give you a copy of your personal data when the law requires us to.
- Sections that by their nature should continue (for example 5, 8, 16 to 21) continue after the account closes.
16. SumCode's Intellectual Property
SumCode, its software, design and brand belong to us and our licensors. These terms give you the right to use SumCode, not to own any part of it. If you send us feedback or ideas, we may use them without owing you anything.
17. Copyright Complaints
If you believe content hosted through SumCode infringes your copyright, email support@sumcode.io with: your contact details, the work you say is infringed, the address of the content, a statement that you believe in good faith the use is not authorized, a statement that your notice is accurate and that you are the owner or authorized to act for them, and your signature. We may remove or disable access to reported content, will handle valid counter-notices as the law requires, and may close the accounts of repeat infringers in appropriate circumstances. Content published to your own GitHub, Netlify, Cloudflare or Bubble is hosted by them, and complaints about it should also go to them.
18. Disclaimers
SumCode is provided "as is" and "as available". To the fullest extent the law allows, we give no warranties of any kind, express or implied, including that SumCode will be uninterrupted, error-free or secure, that it will be fit for a particular purpose, or that code, designs or output produced with it (including by AI agents) will be correct, secure or free of third-party rights.
19. Limits on Our Liability
To the fullest extent the law allows:
- We are not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, business, goodwill or data, even if we knew it was possible.
- Our total liability for all claims relating to SumCode or these terms is limited to the greater of (a) the amount your Organization paid us in the 12 months before the event that caused the claim, and (b) US$100.
- We are not liable for what your AI agent does, for services you connect, for the sites and apps you publish, or for unauthorized access to your account caused by your own credentials, devices or connected services.
Nothing in these terms excludes or limits liability where the law does not allow it, including liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where it cannot lawfully be limited, or death or personal injury caused by negligence. These limits do not remove statutory data protection rights, regulatory duties or breach notification obligations.
20. Your Responsibility for Claims
If you use SumCode for business purposes, you will defend and compensate us against a claim by someone else to the extent it results from your unlawful content, the sites and apps you publish, your infringement of another person's rights, or your material breach of these terms, except to the extent we caused it. We will tell you about the claim promptly, let you control its defence and settlement, and cooperate reasonably. You may not settle a claim in a way that admits fault by us or places obligations on us without our consent.
21. Governing Law and Disputes
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. If a dispute arises, please contact us first; most problems can be solved quickly. If we cannot resolve a dispute with a business user within 30 days, the courts located in Wyoming have exclusive jurisdiction. We do not require arbitration. If you are a consumer, this section does not remove any mandatory protection or any right to use the courts of your own country.
22. Changes to These Terms
We may update these terms. For material changes we will give at least 30 days' notice by email or in the app before they take effect. If you keep using SumCode after that, the new terms apply. If you do not agree, you can close your account and ask for a refund of unused purchased credits.
23. General
- These terms, the Privacy Policy and the Refund Policy are the whole agreement between you and us about SumCode.
- Nothing in these policies limits rights or remedies that the law does not allow us to limit.
- If any part of these terms cannot be enforced, the rest still applies.
- If we do not enforce a right straight away, we have not given it up.
- You may not transfer these terms without our written consent. We may transfer them as part of a merger, sale or reorganization.
- We are not responsible for delays or failures caused by events outside our reasonable control.
- We send notices by email to your account address or in the app. You can send notices to support@sumcode.io.
